Truemed Credits Terms

Welcome to Truemed Credits (the "Credits Program" or the "Program"). The Program enables you to earn credits ("Credits") on qualifying purchases made through True Medicine, Inc. ("Truemed," "we," "us," or "our") and to spend Credits on future qualifying purchases made through the Truemed platform.

These Truemed Credits Terms (the "Credits Terms") govern your participation in the Program. They supplement Truemed's Terms of Service and Privacy Policy, each of which is incorporated by reference. If there is a conflict between these Credits Terms and the Terms of Service with respect to the Program, these Credits Terms control. By earning, holding, or redeeming Credits, you agree to these Credits Terms.

Credits are promotional in nature. They are not money, legal tender, deposits, stored value, or property; they have no cash value; they cannot be exchanged for cash, gift certificates, or gift cards; they earn no interest; and they may not be bought, sold, advertised, traded, transferred, or assigned except as expressly permitted by these Credits Terms. Credits cannot be divided or transferred in any settlement, legal proceeding, divorce, or upon death. We may modify, suspend, or terminate the Program at any time, as described in Section 9.

To participate in the Program, you must: (a) be at least 18 years old; (b) be a resident of the United States; and (c) have an email associated with your Truemed account or provide an email in connection with your first Truemed transaction that earns Credits. The Program is void where prohibited.

Truemed may make the Program, or particular Program features or offers, available to some users and not others. Offers to earn Credits may be personalized to you and may not be universally available. Participation is subject to Truemed's discretion.

Credits are associated with your Truemed-linked email account. You may not merge, share, or transfer your account or your Credits. Credits cannot be manually added to your balance, cannot be applied to orders that have already been processed, and cannot be recovered from a deleted account.

You earn Credits by making qualifying purchases through the Truemed platform. Unless we tell you otherwise at the time of an offer, a "qualifying purchase" is a completed, captured purchase made through Truemed with a participating retail Partner (as defined in Truemed's Terms of Service).

The amount of Credits you can earn on a qualifying purchase will be shown to you at or before checkout. The available Credits for a given purchase may be presented either as an earning rate (a percentage of your qualifying purchase amount) or as a fixed Credit amount for a given purchase or activity. Earning rates and amounts may vary by Partner, offer, or user, and may change at any time. Unless we state otherwise, Credits accrue on your purchase amount excluding taxes, and no Credits are earned on any portion of a purchase paid with Credits, gift cards, rebates, or any form of discount or promotional value.

Credits are issued only after your payment is captured, which may occur after any required review or approval associated with your purchase is complete. No Credits will be earned on transactions that are fraudulent, disputed, returned, or canceled, and we will deduct any related Credits from your balance. Credits issued by mistake or in error may be revoked. Your Credit balance and expiration dates are viewable in your Truemed account dashboard.

You may spend available Credits at checkout on qualifying purchases with participating Partners on the Truemed platform. If your order is eligible, Credits will appear as a payment option at checkout, and we will show you the value of any Credits you apply before you complete your purchase. Unless we tell you otherwise, Credits may be applied toward your order value, including shipping, but excluding taxes.

The retailers, products, and purchases eligible for Credit redemption are determined by Truemed, may be limited, and may change at any time without notice. Credits may be combined with another payment method at checkout, and redemption may be subject to minimums, maximums, or other limits that we disclose to you.

Credits are applied on a first-earned, first-out basis: the Credits closest to expiration are spent first. Any unused remainder of a partially spent batch of Credits keeps its original expiration date. Once you spend Credits, that use is final, except as described in Section 6.

Credits expire 60 days after the date they are issued, at 11:59 p.m. Pacific Time on the final day, unless we tell you otherwise when you earn them. Each Credit carries its own expiration date based on when it was issued. Earning additional Credits or making additional purchases does not extend the expiration date of previously issued Credits. Expired Credits are forfeited, cannot be recovered, and will not be compensated. You can view expiration dates for your Credits in your Truemed account dashboard.

Refunds of purchases made with Credits: If a purchase you paid for in whole or in part with Credits is refunded, the Credits you spent will be returned to your Credit balance with their original expiration dates. If those Credits would have expired by the time of the refund, they remain expired and will not be reissued.

Returns of purchases that earned Credits: If a purchase for which you earned Credits is refunded or reversed in whole or in part, we will deduct the corresponding Credits from your balance — including where those Credits have already expired or been spent, in which case your Credit balance may go negative. You must return your balance to zero before earning or spending additional Credits.

Payment reversals: If your payment for a qualifying purchase is charged back, reversed, or otherwise fails, any Credits issued for that purchase may be revoked.

We may, in our sole discretion, withhold, suspend, revoke, or cancel Credits (including by applying a negative balance), suspend or terminate your participation in the Program, cancel purchases, and/or suspend or terminate your Truemed account if we determine that Credits were earned, claimed, or redeemed by mistake, fraudulently, illegally, or in violation of these Credits Terms or the Terms of Service, or if we suspect abuse, tampering, exploitation of technical errors, or any other activity inconsistent with the intent of the Program. Examples of prohibited conduct include creating multiple accounts; earning Credits through purchases made with the intent to return them; buying, selling, advertising, trading, or bartering Credits; and manipulating earning or redemption mechanics. Our determination is final.

We may ask you to provide information to verify your identity before you can earn or spend Credits, and your access to Credits may be delayed until you do. If your participation in the Program or your Truemed account is suspended or terminated under this Section, you immediately forfeit all Credits, you may not earn or redeem further Credits, and you may not rejoin the Program.

You are responsible for any tax consequences of earning or spending Credits. Purchases made through Truemed may involve funds held in health savings accounts (HSA), flexible spending accounts (FSA), or other consumer-directed healthcare accounts. The treatment of Credits under your HSA, FSA, or other benefit plan is governed by your plan's rules and applicable law, and you are responsible for complying with them. Truemed receipts will reflect Credits applied to a purchase. Consult your plan administrator or a tax advisor with questions.

We may modify any aspect of the Program, including how you earn, claim, hold, and redeem Credits, earning rates and opportunities, participating Partners, redemption terms, and expiration policies, and may suspend or terminate the Program, at any time and in our sole discretion. We will provide reasonable notice of material changes via email or your Truemed account, and changes will not reduce the value of Credits already in your account except as provided in these Credits Terms (including Sections 5, 6, and 7) or as required by law. If we terminate the Program, previously issued Credits will remain spendable until the earlier of their scheduled expiration or a termination date we announce with reasonable notice, except where termination results from fraud, abuse, or legal requirements.

The Program is provided "as is" and "as available." Truemed is not responsible for unauthorized use of your Credits or your account. To the fullest extent permitted by law, Truemed disclaims all warranties relating to the Program, express or implied, including the implied warranties of merchantability and fitness for a particular purpose, and the indemnity, release, and limitation of liability provisions of Section 6 of the Terms of Service apply to the Program and these Credits Terms. Truemed is not responsible for the products or services of participating Partners; your purchase from a Partner remains subject to that Partner's own terms and policies.

Any dispute arising out of or relating to the Program or these Credits Terms is subject to the dispute resolution provisions of the Terms of Service, including the arbitration agreement and class action waiver in Section 7 of the Terms of Service (and the opt-out right described there), which are incorporated into these Credits Terms by reference.

These Credits Terms do not create any third-party beneficiary rights. Truemed may assign or transfer its rights and obligations under these Credits Terms without notice to you. You may not assign or transfer these Credits Terms or any Credits, and any attempted transfer in violation of this provision is void. If any provision of these Credits Terms is found unenforceable, the remaining provisions remain in full force. Section titles are for convenience only. We may update these Credits Terms from time to time; updated terms will be binding on you, the "Last Updated" date above reflects the most recent version, and your continued participation in the Program after an update constitutes acceptance.
